VideoAgent Terms and Conditions
These terms and conditions ("terms") are an agreement between you and the operator of this service ("we", "us"). They apply to anyone, person or software agent, who uses VideoAgent at https://api.ozyshare.com: the editor, the HTTP API, the MCP server and the CLI. By uploading a video, asking for an edit or paying for one, you agree to these terms. If you do not agree, do not use the service.
1. Who may use it
- You must be at least 18, or the age of majority where you live, and able to make a binding agreement.
- If you use the service for a company or other organisation, you agree to these terms for it, and confirm you may.
- If a software agent uses the service for you, its requests and payments are yours: you are responsible for what it does here, as if you had done it yourself.
2. The service
VideoAgent edits a talking-head video automatically: it transcribes the speech, adds captions, animations, transitions, sound and music, and renders a video file. Results are made by software and may contain mistakes, including in the captions and in what the AI director chooses. Check them before you publish them. Nothing the service produces is legal, financial, medical or other professional advice. We may change, limit or stop any part of the service at any time, without notice and without liability to you.
3. Your videos and results
- You keep all rights to the videos you send. You give us only the permission needed to store, process and return them to you, and to remove them.
- The edited result is yours to use for any lawful purpose, including commercially. The animations, caption styles, sounds and music the service adds are licensed to you as part of that result; you may not extract them to use on their own or to build a competing library.
- You are responsible for the videos you send and for how you use the results, including having the consent of the people who appear in them.
- Uploads and results are deleted automatically after about 24 hours; keep your own copy. Results are reachable by anyone who has their link, which is long and random; share it only with people who should see the video.
4. Acceptable use
You may only send videos you have the right to use. You must not use VideoAgent to make or process:
- sexual content involving minors, in any form;
- sexual or intimate content of anyone without their consent;
- content that infringes copyright, trademarks or other people's rights;
- content that impersonates a real person or misleads people about who is speaking (deceptive deepfakes);
- harassment, threats, incitement to violence, or content that targets people for who they are;
- anything else that is illegal where you are or where the service runs.
You must also not attack or overload the service: no getting around limits or payments, no probing for weaknesses without permission, and no using it to reach other networks. Building your own product or agent on top of the API is welcome, as long as the people using it follow these rules too (see section 5).
5. What you build is your responsibility
- VideoAgent is a tool. You, not we, decide what to send it, what to build with it and what to do with its results. We do not review, approve, monitor or endorse your videos, results, products, agents, apps, websites or channels, or anything you or your users publish.
- If you build a product, service or agent that uses VideoAgent, it is yours alone: you are solely responsible for it, for its users, for what they send and receive, for your own terms and privacy notices with them, and for following every law that applies to it. Your users have no agreement with us and no claim against us; your terms with them must not say or suggest otherwise.
- We are not responsible for any decision, action, payment or loss made by you, your users or your software agents, including an agent that spends more than you meant, sends the wrong file, or acts on a result.
- We are not responsible for content made or published with the service, or for any harm it causes, including to the people who appear in it.
6. Prices and payment
- Edits are paid per use in USDC with the x402 protocol, at the price quoted before you pay (see pricing). Prices may change, but never for an edit already quoted and paid. Videos may be up to 10 minutes long.
- A payment is checked when the edit starts and collected only when the edit succeeds. If an edit fails, you are not charged.
- Asking again for the same edit returns the edit already made, without a second charge.
- Payments on a blockchain cannot be reversed by us, and network fees are yours. Once an edit has been delivered, its payment is final. Refunds are not owed for any reason, including results you don't like; if you think you were charged by mistake, contact us with the edit id within 14 days and we may, at our sole discretion, offer a refund or a new edit, which is then your only remedy.
- You are responsible for any taxes on what you buy, and for being allowed to send the payment.
- You must not use the service if you are in, or acting for someone in, a country or on a list under sanctions that apply to us. Payments may be screened, and we may refuse payments from wallets linked to sanctions or crime.
7. Privacy
- What we keep: your uploads and results (deleted after about 24 hours) and, to run and protect the service, request records such as your IP address, the paying wallet address, times and edit ids. We use these only to provide the service, enforce limits and these terms, and handle disputes, and keep them no longer than needed for that.
- Who processes it for us: our hosting provider (the servers that store and render your video); the payment facilitator and the blockchain (payments, which are public on the chain by nature); and, only if you ask for the AI director, Anthropic, which receives the transcript and your direction to plan the edit, not the video itself.
- We do not sell your data, use your videos to train models, or show them to anyone else, except where the law requires it or to deal with a report under section 9.
- To ask what we hold about you, or to have it removed sooner, contact petroshong@gmail.com.
8. Other services
The service relies on others, such as the blockchain, wallets, the payment facilitator, our hosting provider and Anthropic. We are not responsible for their outages, fees or mistakes, and your use of them is under their own terms.
9. Takedown and abuse reports
If a video or result on this service infringes your rights or breaks these rules, write to petroshong@gmail.com with the link or edit id and the reason. We remove content that breaks these rules as soon as we can, and may report illegal content to the authorities.
10. Suspension and ending
We may refuse, stop or delete any upload or edit, and block any address or wallet, that breaks these terms or puts the service or others at risk, without notice. You may stop using the service at any time. Sections 3, 5, 6, 11, 12, 13, 14 and 15 continue to apply after you stop.
11. No warranty
The service and everything it produces are provided "as is" and "as available", with all faults, and you use them at your own risk. To the fullest extent the law allows, we disclaim all warranties and conditions, express, implied or statutory, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy (of captions, transcripts, plans or anything else), and that the service will be available, secure, timely or free of errors or harmful components. We do not warrant that the music, sounds or animations added to a result are suitable for any particular platform, or that any platform will accept a result.
12. Limitation of liability
To the fullest extent the law allows: (a) neither the operator of this service nor its owners, members, employees, contractors or suppliers is liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, business, goodwill, data, reputation or digital assets, or for the cost of substitute services, however caused and whatever the theory (contract, tort including negligence, strict liability or otherwise), even if told such damages were possible; (b) we are not liable for anything made, published or done by you, your users, your agents or anyone else with the service or its results, or for any product or service built on it; and (c) our total liability for all claims about the service or these terms, together, is limited to the lesser of what you paid us for the edits the claims are about in the 3 months before the first claim, and US$50. These limits apply even if a remedy fails of its essential purpose, and are an essential part of the bargain: the prices would be far higher without them. Some places do not allow some of these limits; there, our liability is limited to the smallest amount the law allows.
13. Your responsibility to us
You will defend, indemnify and hold harmless the operator of this service and its owners, members, employees, contractors and suppliers from and against all claims, demands, losses, damages, fines, liabilities and costs (including reasonable legal fees) arising from or related to: the videos you send; the results and how you or anyone else uses or publishes them; any product, service, app or agent you build or run that uses the service, and its users; what your software agents do; your breaking these terms or any law; or your infringing anyone's rights. We may take over the defence of any such claim at your cost, and you will not settle one without our written consent.
14. Law and disputes
- Law. These terms, and any dispute about them or the service, are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law rules.
- Talk first. Before starting any claim, write to petroshong@gmail.com describing it, and give us 30 days to try to settle it.
- Binding arbitration. Any dispute that is not settled will be decided by final, binding arbitration before a single arbitrator under the rules of the American Arbitration Association (its Consumer Arbitration Rules where they apply), held online or in Wilmington, Delaware, and not in court. Either side may instead bring an individual claim in small-claims court, and either side may go to court to stop infringement or misuse of its intellectual property. The arbitrator decides questions about the scope and enforceability of this section.
- No class actions. Claims may only be brought individually, never as a plaintiff or class member in any class, collective, consolidated or representative proceeding, and there is no jury trial. If this waiver is found unenforceable for a claim, that claim goes to the courts of the State of Delaware, USA and not to arbitration.
- Time limit. Any claim must be started within one year after it arose, or it is permanently barred.
- Opting out. You may opt out of arbitration by writing to petroshong@gmail.com within 30 days of first using the service. Disputes then go to the state or federal courts of the State of Delaware, USA, and you consent to their jurisdiction.
- Nothing here removes a right you have as a consumer that the law of where you live says cannot be waived.
15. General
- These terms are the whole agreement between you and us about the service. If a part of them can't be enforced, the rest still applies. Not enforcing a part is not giving it up.
- You may not transfer your rights under these terms; we may transfer ours to whoever runs the service after us.
- The VideoAgent client (the
videoagentnpm package) is open source under the MIT license, which covers the client code; these terms cover the service. - These terms may change. The date at the top shows the latest version; using the service after a change means you accept the new terms. A change never applies to an edit you already paid for.
